Burlington Stores, Inc.

Burlington, N.J. - Affiliates of Bain Capital Partners LLC and certain other stockholders of Burlington Stores Inc. intend to offer eight million shares of the company’s common stock in an underwritten public offering. The offering consists entirely of secondary shares to be sold by the selling stockholders.

Burlington Stores will not sell any shares in the offering and will not receive any proceeds from the offering. J.P. Morgan is acting as sole book-running manager for the offering.

New York -- The nation’s three largest off-price retailers (TJX, Ross Stores and Burlington) will see above-average growth, in the 6%-8% range, over the next five years, compared with 4% growth for the broader retail industry, according to a new report by Moody's Investors Service. The leaders in the space have thousands of vendor relationships and significant scale, so supply constraints aren't likely to hinder their growth, the report noted.

PepsiCo’s top marketer and a former top Macy’s executive are the newest members of off-price retailer Burlington Stores board of directors.

The operator of more than 500 stores expanded its board to eight members with the addition of Frank Cooper III, chief marketing officer, global consumer engagement for PepsiCo’s global beverages group, and William “Mac” McNamara, former chairman and CEO of Macy’s Midwest division.

Burlington Stores has updated its comparable store sales guidance for the second quarter ending Aug. 2 and launched a debt refinancing transaction.

Based on the company’s results quarter to date and its estimates for the remainder of July, comparable store sales for the quarter are expected to increase between 3% and 4% — not as much as last year’s second quarter comparable-stores sales increase of 7.8%, but better than its previous estimates of 2% to 3%.

Burlington, N.J. — Burlington Stores Inc. had an all-around strong first quarter of fiscal 2014 that included a better-than-expected net income of %11.77 million, up from a net loss of $5.56 million in year-ago period. The retailer expects to open 25 net new stores during the fiscal year, including the opening of one new store and closing of one existing store in the second quarter.

Burlington Stores president and CEO Tom Kingsbury has the operator of 523 stores headed in the right direction with an off-price model that is delivering results and poised for expansion.
