  • Walgreens looks to speed up Rite Aid merger

Walgreens Boots Alliance is considering a move that would force the Federal Trade Commission to vote on its planned merger with Rite Aid within 30 days.   Walgreens is considering declaring that it has “certified compliance” in its application, which would mean that the drugstore chain believes it has given regulators substantially all the information they need to make a decision, The New York Post reported.
  • Report: Update on Walgreens-Rite Aid deal

Walgreens Boots Alliance’s acquisition of Rite Aid is moving closer to getting a green light from the Federal Trade Commission.       The FTC is expected to approve the sale in the next two to four weeks, reported the New York Post, citing two sources close to the situation.   The major sticking point was reportedly the number of Rite Aid stores that need to be divested to Fred’s Pharmacy.
  • Analyst: ‘Still chance of a reasonable outcome’ for Walgreens-Rite Aid deal

An Evercore ISI analyst maintained his “buy” rating on Walgreens Boots Alliance stock, stating that although its proposed deadline for a deal with Rite Aid has been delayed, “there is still a chance of a reasonable outcome for both parties.”   The companies pushed back the deadline for merger from Jan. 27 to July 31 and trimmed the purchase price paid to Rite Aid to $6.50 to $7 per share — based upon the number of store divestitures the FTC requires — from $9 per share.

Fred’s Pharmacy confirmed its agreement to purchase divested stores remains in effect following Monday’s news that Walgreens Boots Alliance and Rite Aid extended the deadline for their potential merger agreement.

Walgreens Boots Alliance and Rite Aid on Monday morning extended their previously announced definitive merger agreement under which Walgreens Boots Alliance will acquire all outstanding shares of Rite Aid.   The retail pharmacy operations also restructured a new deal that would value Rite Aid at between about $6.8 billion and $7.4 billion, depending on required store divestitures, down from an initial acquisition cost of $9.4 billion.

With the deadline for the deal set to expire Friday, Jan. 27, Walgreens Boots Alliance CEO Stefano Pessina told shareholders attending the Walgreens Boots Alliance annual meeting Thursday morning that the board of directors for both Walgreens and Rite Aid were in "active" discussions toward getting the deal approved even as the Federal Trade Commission continues to deliberate over the proposed retail pharmacy merger.
  • Walgreens-Rite Aid deal still waiting for approval

The much anticipated approval for the Walgreens/Rite Aid merger, through which Walgreens has proposed to pay $9.4 billion for the acquisition of Rite Aid's 4,547 stores in an effort to bolster its national footprint, did not happen by Friday morning as many had speculated.    Now there is a new countdown clock — the deal is set to expire Jan. 27 if not approved before that time.
