Wendy’s gets $1.4B buyout offer
The Wendy’s Company is the target of a blockbuster buyout offer that would take it private.
A group of investors led by billionaire Nelson Peltz’s Trian Fund Management has offered to buy the struggling quick-serve chain for approximately $1.4 billion. The offer was disclosed in a regulatory filing on Wednesday. Trian is a long-term shareholder in Wendy's and holds a 16.3% stake.
Peltz served 17 years as Wendy’s chairman before stepping down in 2024. He currently is chairman emeritus.
In addition to Trian, the group includes Flynn Group, one of Wendy’s largest franchisees with more than 300 global locations, and investment firms BlueFive Capital and Sixth Street Partners. At $7.35 per share in cash, the bid represents a roughly 20% premium to the chain’s closing price on Tuesday.
Wendy's issued a statement in which it said it had received an unsolicited, non-binding proposal from the investor group. An independent committee, in consultation with its financial and legal advisors, will evaluate the proposal "consistent with its fiduciary duties and in the best interests of the company and its shareholders," the statement read.
Wendy’s has been challenged by falling sales and traffic declines in recent years, with a decline in same-store sales for six consecutive quarters. It has struggled amid high beef prices and increased competition from newer, more nimble competitors with more modern restaurants.
The company, which had roughly $2.4 billion of net debt as of June 28, has been closing outdated locations. Earlier this year, it disclosed plans to shutter up to 358 locations in 2026.

"The business requires significant capital investment to de-lever and execute the strategic initiatives needed to turn system performance around," Peltz and Flynn Group's CEO Greg Flynn said in a letter to Wendy's. "We believe private ownership is the better path and provides the patient, long-duration capital needed to restore the business and the franchise system to a position of strength.”
Wendy’s is led by Robert D. "Bob" Wright, who became CEO and president in May. Previously, from 2020 through 2025, he served as CEO of Potbelly Corp., leaving after the company went private. Before that, Wright held multiple senior leadership roles at Wendy's.
In May, Wendy's named Tariq Hassan to the new role of chief marketing and customer growth officer. He previously served as senior VP, U.S. chief marketing and customer experience officer at McDonald's from 2021 to 2025.
Based in Dublin, Ohio, Wendy’s has more than 7,000 restaurants worldwide.
