Hot Topic to be acquired in deal that creates 3,000-plus store footprint

Pop culture-influenced apparel and collectibles retailer Hot Topic is getting a new owner.

Spencer Spirit Holdings Inc., parent company of Spencer’s and Spirit Halloween, has signed a definitive agreement to acquire teen retailer Hot Topic Inc. from Sycamore Partners. The purchase price was not disclosed, although Bloomberg had earlier put it at approximately $350 million.

Sycamore acquired Hot Topic in 2013 in a deal that valued the company at about $600 million. Under its ownership, Hot Topic expanded its focus on licensed property merchandise. The chain currently operates more than 615 stores across the U.S. and Canada.

The Hot Topic portfolio includes BoxLunch, which has more than 280 U.S. stores, and offers an “elevated” collection of licensed pop-culture apparel, accessories and collectibles. (For every $10 spent in-store or online, the brand donates at least one meal through Feeding America). The portfolio also encompasses Her Universe, a lifestyle fashion brand focused on fandom-centric apparel and accessories.

Founded in 1947, Spencer's has more than 650 locations offering lifestyle products across a wide range of categories. Spirit Halloween is the largest Halloween retailer in North America, with more than 1,550 seasonal locations. In 2024, the company debuted Sprit Christmas, which is expected to have 44 locations this year.

“The strategic transaction unites six iconic, highly complementary retail concepts under one umbrella, expanding the combined company's total footprint to more than 3,000 stores across North America,” Spencer said in a statement. “Together, the combined entity creates a bicoastal retail ecosystem rooted in culture and entertainment.”

To preserve the distinct DNA, culture and operational strength of each brand, after closing, Hot Topic, BoxLunch and Her Universe will continue to operate independently from the Spencer Spirit business. Hot Topic will also maintain its existing headquarters in City of Industry, Calif.

"By joining a complementary portfolio while maintaining our operational independence, we can build on the tremendous growth our teams have delivered over the past decade and drive even more opportunities for expansion,” said Hot Topic CEO Steve Vranes.

The transaction, which is subject to customary closing conditions and regulatory approvals, is expected to close in the third quarter.
