Target board results confirmed
MINNEAPOLIS Target announced that IVS Associates, the company's independent inspector of elections, certified that Target shareholders have elected to the Target board of directors all four of the company’s incumbent director nominees – Mary Dillon, Richard Kovacevich, George Tamke, and Solomon Trujillo. The results also confirm that shareholders have approved the proposal to set the size of the Target board at 12 and that the shareholder proposal regarding an annual advisory vote on executive compensation was not approved.
IVS Associates confirmed that each of Target's nominees received more than 70% of votes cast, while Pershing Square's nominees each received less than 25%, with three receiving less than 8% of votes cast. Board size was approved by 73% of votes cast.
The final tabulation indicates that approximately 560 million shares were voted, representing 74% of outstanding shares.
