Ex-CEO seeks changes to Children’s Place Board
New York City Things are getting heated at The Children’s Place. A group of shareholders that owns about 22% of The Children's Place Retail Stores and is led by its former CEO made another pitch to shareholders Thursday in support of its three nominees to the retailer's board.
The Committee of Concerned Shareholders -- led by former CEO Ezra Dabah -- has nominated Raphael Benaroya, Jeremy J. Fingerman and Ross B. Glickman.
The Children's Place has asked shareholders to vote against the slate and said Dabah is trying to regain control of the company without "paying anything" to shareholders.
Dabah resigned in 2007 after an internal investigation found he had violated company policies on securities trades.
In Thursday's letter, Dabah said shareholders should not be misled by the company's claims about his departure. He wrote that he left to "facilitate the completion of audits and avoid further delay in completing the company's SEC filings," after its auditor said it would "no longer rely on his representations."
