Dillard's holders seek document access
Little Rock, Ark. Two Dillard’s investors, Barington Companies Equity Partners and Clinton Multistrategy Master Funds, have sent a letter to the company requesting access to its stockholder lists and other documents for inspection. Barrington is the owner of 567,830 shares of Dillard’s Class A Common Stock. Clinton owns 463,200 shares of the company’s Class A Common Stock.
In a letter sent to Dillard’s, as reported in an SEC filing, Barington and Clinton asked for a complete list of the company’s stockholders, detailing the names, addresses and number of shares registered to each holder, as well as information detailing the changes in the list of stockholders.
The shareholders requested a complete copy of Dillard’s bylaws and certificate of incorporation. According to Barington and Clinton, the purpose of this demand is to “communicate with the company’s stockholders regarding matters relating to their interests as stockholders.”
