Children’s Place criticizes report favoring activist nominee

5/11/2015

Secaucus, N.J. – The Children’s Place Inc. is publicly criticizing a report from proxy advisory service Institutional Shareholder Services (ISS) recommending that shareholders elect one of two board nominees from activist investors Macellum SPV II L.P. and Barington Companies Equity Partners L.P. ISS supports election of Robert L. Mettler but recommends against electing Seth R. Johnson.

“We are seeing tangible results from our transformation plan, as evidenced by our first quarter results in which we reported our fourth consecutive quarter of positive comparable retail sales, substantial margin and EPS growth and increased 2015 guidance, while at the same time, continuing to return capital to shareholders,” The Children’s Place said in a statement supporting its three candidates for the board, including chairman Norman Matthews.
